Profile
Laura Greff is a member in Naman Howell’s Austin office. Her practice centers on public finance, where she represents clients in a variety of roles in tax-exempt and taxable bond and note transactions in Texas, across the country and in the U.S. Virgin Islands. Her corporate trust work involves advising financial institutions acting as trustee, master trustee, fiscal agent, paying agent, construction fund agent and dissemination agent. She also serves as bond and issuer’s counsel to local government entities and development authorities and represents developers in public finance matters. In addition, Laura maintains a real estate and commercial law practice covering banking, corporate and general business matters.
Laura’s transactional experience includes conduit financings for affordable, workforce and student housing, single-family residential development, charter schools, senior living communities and other nonprofit borrowers. The related bonds and other obligations feature construction-to-permanent, funding loan, governmental note and senior/subordinate lien structures, sold through both public offerings and private placements. Her housing work spans 4% and 9% tax credit transactions, along with Freddie Mac, Fannie Mae and Ginnie Mae financings and cash-collateralized bonds. Her special district work covers public improvement district special assessment, municipal management district, municipal utility district and tax increment reinvestment zone bonds, including capital appreciation bonds.
Laura counsels national banks and issuers on post-closing matters such as conversions, remarketings, supplemental indentures and amendments, lienholder consents, loan transfers, changes in ownership and the ongoing administration of outstanding obligations.
Before joining Naman Howell, Laura practiced with several firms in the state, where she worked on office, retail and hotel real estate transactions and represented lenders in commercial mortgage and asset-based lending. She counseled public and private companies on mergers and acquisitions, private equity, securities compliance, loan workouts and corporate governance. Laura later served as Assistant General Counsel for the Employees Retirement System of Texas, advising agency leadership and staff on procurement, technology agreements, interagency contracts, pending legislation and rulemaking, all in light of the agency’s status as a public trust fund. At Naman Howell, she is a member of the firm’s Technology Committee.
