Chris is a transactional attorney with experience in real estate, corporate, and public finance law. Chris’s real estate practice includes representing clients in transactions involving real estate acquisition, disposition, and leasing. He has assisted clients in entity selection and formation, buying and selling businesses, corporate governance matters, and the transfer of interests in partnerships, limited liability companies, and corporations. Chris has broad experience in drafting and negotiating complex commercial contracts and advising clients generally on business and commercial matters. His public finance practice has included assisting issuers, underwriters, trustees, and borrowers in financings involving cities, counties, school districts, airport systems, universities, multifamily housing developments, and health care facilities. He also represents clients involved with structuring and documenting various types of public-private partnerships.

  • Represented buyers and sellers in the acquisition and disposition of commercial shopping centers across Texas.
  • Represented buyers and sellers in the acquisition and disposition of ranches and raw land throughout Texas.
  • Represented purchaser in the acquisition of a commercial center in Austin.
  • Represented shopping center owners in the preparation and negotiation of retail and commercial leases.
  • Represented a large Austin-based restaurant group in the negotiation of numerous restaurant leases.
  • Represented landowner in the negotiation of plat approval and an easement variance with a local government.
  • Represented several churches in the acquisition and disposition of church campuses.
  • Represented developer on multi-layer financing project for development of hotel site in Dallas-Forth Worth area.

Public Finance / Public-Private Partnership Highlights:

  • Represented housing finance corporations and development partnerships in connection with numerous property tax–exempt multifamily housing developments throughout Texas.
  • Represented housing finance corporations in the issuance of taxable and tax-exempt bonds and notes for financing of new construction and acquisition/rehabilitation multifamily housing developments, including both private placements and public offerings.

Business Highlights:

  • Represented seller in the asset sale of a propane distribution business.
  • Represented client in a roll-up of multiple air filter businesses, including the acquisition, consolidation, and eventual sale.
  • Represented a real estate brokerage and investment firm in LLC governance matters and the sale of membership interests.
  • Represented a communications consulting firm in business formation, LLC governance matters, contract negotiation, and general business matters.
