Structuring transactions in light of applicable tax rules constitutes a
major part of the firm’s tax practice. Recent transactions have
included creating structures for new business ventures, acquisitions and
sales of corporations, etc. Tax planning also frequently includes preparing
opinions or obtaining IRS rulings on the federal income tax treatment
of transactions and drafting disclosure statements on expected tax consequences.
Likewise, tax planning may include preparation of legal documents such
as wills and trusts or employee benefit plans.
